Barika Terms of Service

1. Acceptance of Terms

By accessing or using Barika's Co-Marketing-as-a-Service platform ("Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these terms.


2. Platform Description

Barika provides a co-marketing platform that enables brands to create promotional offers (as Offer Partners) and place partner offers within their communications (as Host Partners). The Platform uses AI-powered matching to connect compatible brands for mutual marketing benefit.


3. Account Registration

To use the Platform, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your account information
  • Accept responsibility for all activities under your account


4. Brand Representation and Authority

As a Brand Account Owner, you represent and warrant that:


  • You have the legal authority to represent the brand(s) associated with your account
  • You are authorized to create offers, enter partnerships, and bind the brand to co-marketing agreements
  • All brand assets, logos, and trademarks you submit are owned by or licensed to you
  • You will not misrepresent your affiliation with any brand or organization
  • You accept full responsibility for ensuring all activities on your account comply with your brand's policies and guidelines


Barika reserves the right to request verification of brand authority and may suspend accounts pending verification.


5. Offer Partner Responsibilities

As an Offer Partner, you agree to:


  • Create offers that are accurate, lawful, and not misleading
  • Honor all offers distributed through the Platform
  • Maintain sufficient wallet balance to cover offer distributions
  • Comply with all applicable advertising and consumer protection laws
  • Not submit offers containing prohibited content (hate speech, adult content, illegal products)


6. Host Partner Responsibilities

As a Host Partner, you agree to:


  • Only place offers in communications you have authority to send
  • Maintain compliance with email and SMS marketing regulations (CAN-SPAM, TCPA, GDPR)
  • Not artificially inflate engagement metrics
  • Configure trust and safety preferences appropriately for your audience


7. Billing and Payments

Pricing Models


Barika operates on two pricing models for Offer Partners:


  • Cost Per Engagement (CPE): Funds are deducted from your wallet when customers engage with your offers (e.g., clicks, interactions).
  • Cost Per Redemption (CPR): Funds are deducted from your wallet when customers redeem your offers (e.g., coupon used, purchase verified).


Payment Terms


  • Offer Partners: You are billed based on your selected pricing model (CPE or CPR). Funds are deducted from your wallet accordingly.
  • Host Partners: You earn revenue based on customer engagement or redemption with placed offers, credited to your earnings balance.
  • Auto Top-Up: Offer Partners must maintain auto top-up to ensure uninterrupted offer distribution.
  • Payouts: Host Partner earnings are paid according to the payout schedule in your account settings.


8. Trust and Safety

All offers pass through our Trust and Safety gates before distribution. We reserve the right to reject, remove, or suspend any offer or account that violates our content policies, community standards, or these Terms.


9. Intellectual Property

You retain ownership of content you submit to the Platform. By submitting offers, you grant Barika a license to display, distribute, and promote your offers through the Platform and partner channels. You represent that you have rights to all content you submit.


10. Limitation of Liability

Barika provides the Platform "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability is limited to fees paid by you in the twelve months preceding the claim.


11. Account Termination

We may suspend or terminate your account if you:


  • Violate these Terms of Service
  • Engage in fraudulent or abusive behavior
  • Fail to maintain required payment methods
  • Submit content that violates our policies


You may close your account at any time. Outstanding balances remain payable upon termination.


12. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.


13. Governing Law

These Terms are governed by the laws of the jurisdiction where Barika is incorporated. Any disputes shall be resolved through binding arbitration, except where prohibited by law.
